I found a super duty 76' 454 truck,rebuilt with 13k on it. my questions:
a)dropping the motor into the '62 Imp-problems to expect beside that split shaft Impala crap.I'm running a 235 i6.

Tight exhaust. HEI may give you reason to use small diameter cap-point's/converted to Pentronix module. Nice find, Big Block's are brutal! I am interested in see the tech advice that will follow in the next day or so.

What do you need an opinion on? It'll fit, although you might have to massage the exhaust and distributor into place. Sounds like a nice score, and a good motivator for your '62. You should definitely do it.
You going to run the tranny that's in the car now?? You won't be able to - wrong bellhousing. Put the turbo that was behind the 454 in, there are lots of aftermarket places to get mounts. Only thing I would be concerned about is deck height. Truck engines are a bit higher than car engines, and I think you have to uses spacers to run passenger car intake manifolds on a truck engine.
It should fit. These cars originally came with 409's, which were considerably larger than 283's.

Absolutely correct. Tall deck truck motors can use normal intakes w/spacers. Weiand(Holley) makes the spacers.

Did the motor come out of a bus or dump truck? If it did, it may be a "tall deck" big block. They had a super long stroke and ran out of power at like 4000 rpm and are kind of a pain for hop-up parts too. In that case, you may want to look for something else (unless you want to build a 496 or 572 stroker http://www.jalopyjournal.com/ubbthreads/images/graemlins/grin.gif )

Find a v8 bell housing trans will bolt up. V8 motor mounts should also bolt up. Should be more than enough clearence as 62 came with the 348 and 409, also very wide engines. HEI dizzy might prove a problem but i do not think so as the engine compartments vere huge. Going to need a 454 flywheel but older clutch disks and pressure plates will work. This will be much easier than putting a 454 in my 57 and we did that in one Sat.

I am running an MSD dizzy in the 57 with no clearence problems
